The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “Client”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of Estonia. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Removal of links from our website

Creating a Cointorox Account

By registering and opening an account on Cointorox or any associated websites and mobile applications, you warrant that you are (i) equal to or more than 18 years old; (ii) are not a US citizen or a citizen of countries where the purchase of cryptocurrencies are illegal under their respective jurisdictions; (iii) are not a corporate customer; and (iv) have read, understood, and accept all of the terms & conditions contained in this agreement as well as our Privacy Policy.

In order to use any of the Cointorox Services, you must first register by providing an email address and affirming your acceptance of this agreement. Cointorox may, in our sole discretion, refuse to allow you to establish a Cointorox account, or limit the number of Cointorox accounts that a single user may establish and maintain at any time.

Upon making your first withdrawal, you will be required to provide Cointorox with further additional information, including, but not limited to, telephone number, date of birth, taxpayer identification number, government identification document, and information regarding your bank account (e.g., financial institution, account type, routing number, and account number). In submitting this or any other personal information as may be required, you warrant that the information is accurate and authentic, and you agree to update Cointorox if any information changes. Failure to do so may result in your Cointorox account being suspended or alteratively your account will be closed temporarily.

If you fail to comply and provide authentic information or verification document(s), your account will be closed after 14 days of a final request (such request duly marked ‘final request’ by us) and, subject to any legal or regulatory reason preventing us from doing so, we may return the funds held in your Balance account to a payment card used by you.

You hereby consent and authorise Cointorox to, directly or through third parties make any inquiries we consider necessary to verify your identity and/or protect against fraud, including to query identity information contained in public reports (e.g., your name, address, past addresses, or date of birth), to query account information associated with your linked bank account (e.g., name or account balance), to manage the risk of fraud against us and our customers and to take any action we reasonably deem necessary based on the results of such inquiries and reports. You further authorise any and all third parties to which such inquiries or requests may be directed to fully respond to such inquiries or requests.

Cointorox Services

Please note that Cointorox is not a bank account. Your funds are not covered by any deposit guarantee schemes similar to bank accounts and we do not provide regulated financial services/businesses. Cointorox has been created to allow users to easily and safely purchase a range of cryptocurrencies as a step to join the world of digital currencies.

A Cointorox account encompasses a digital dashboard which has:
1. One or more hosted digital balances that allow you to store certain supported digital currencies, like Bitcoin, Ether and others that are shown as available on the dashboard from time to time (‘Digital Currency’), and to track, transfer, and manage the supported Digital Currencies. This is not a digital balance that you control personally. Cointorox gives you the ability to acquire and sell the value of Digital Currencies only, but the Digital Currencies are never held in your wallet(s) as they are held and managed securely by Cointorox on your behalf (the ‘Hosted Digital Balance’);

2. Digital currency conversion services through which you can save up Digital Currency value by instructing us to make regular purchases of supported Digital Currencies for your account using available funds you have paid to us (the ‘Digital Currency Services’);

3. A fiat currency (e.g. USD, EUR, CAD) balance solely for use in connection with payment for our Cointorox Services or redemption (‘Balance’).

4. The Cointorox dashboard allows you to manage your daily Digital Currency purchase plan, view your account balance and withdraw fiat currency and digital currencies.

5. Cointorox reserves the right to refuse to process or to cancel any pending Digital Currency transaction should it be required by law or in a response to a subpoena, court order, or other binding government order or to enforce transaction limits.

6. Cointorox assumes no responsibility or liability in connection with any attempt to use Cointorox Services for digital currencies that Cointorox does not support.

7. You consent to Cointorox authorising a third-party payment processor to process any fiat currency payment between you and Cointorox, including but not limited to payments in relation to your use of the Conversion Services or deposits or withdrawals from your Balance.

Balance

Users will establish and fund and their Balance to hold fiat currency only which funds your regular purchases. Cointorox holds the Balance in dedicated accounts with financial institutions. Your Balance is treated as client assets by Cointorox for the benefit of you, and held at a licensed Payment Service Provider.

Cointorox will automatically take a payment amount determined by your chosen payment plan selected when your Cointorox account is opened and changeable from your dashboard. Payment will be taken as described in the information next to the relevant payment plans shown on our website from time to time.

Withdrawals

Subject to successful completion of our Know Your Customer (KYC) procedure, you may withdraw all or part of the Digital Currency held in your Hosted Digital Balance (provided such amount is available) which will be credited to your Balance. You authorise Cointorox to debit your Cointorox account(s) and initiate payments to your selected payment method(s) in settlement of a withdrawal instruction (such instruction is made via the Cointorox dashboard). The Digital Currency will be sold on the day you give the withdrawal instruction. You will be in receipt of such funds within 1-2 business days of your withdrawal instruction and a withdrawal fee of 2.5% of the value of your payment will be owed to Cointorox (applicable to both fiat & digital currency withdrawals). In all cases, a payment withdrawal fee in Cointorox Token (ROX) may be required should we introduce the feature activation/deactivation system.

The fees as mentioned above are netted out of transfers to or from Cointorox. We will not process a transfer if associated bank fees exceed the value of the transfer.

It is the User’s responsibility to ensure that their method of payment is active and has sufficient funds to transfer to Cointorox at the start of each plan billing cycle or for one-off payment billing. The digital balance services are available only in connection with those Digital Currencies that Cointorox, in its sole discretion, decides to support.

Under no circumstances should you attempt to use your Hosted Digital Balance or Balance services to store, send, request, or receive digital currencies in any form from or to third parties.

Exchange Services

Eligible Users can adjust the purchase amount of supported Digital Currencies by selecting a daily purchase amount for a chosen Digital Currency via the dashboard. The exchange services are subject to the Cointorox “Exchange/Conversion Rate” for the given transaction.

“Exchange/Conversion Rate” means the price of a given supported Digital Currency amount in terms of Fiat Currency or other Digital Currency as quoted on the Cointorox Site which is updated from time to time.

The Exchange/Conversion Rate is stated either as a “Buy Price” or as a “Sell Price,” which is the price in terms of Fiat Currency or Digital Currency at which you may buy or sell supported Digital Currency to Cointorox. You acknowledge that the Buy Price Conversion Rate may not be the same as the Sell Price Conversion Rate at any given time, and that Cointorox may add a margin or “spread” to the quoted Conversion Rate.

You agree, as a condition of using any Cointorox exchange services, to accept the Exchange/Conversion Rate as the sole conversion metric. Cointorox reserves the right to delay any exchange service transaction if it perceives a risk of fraud or illegal activity. Cointorox does not guarantee the availability of its exchange service, and the act of purchasing supported Digital Currency from Cointorox does not result in a guarantee that you may sell your supported Digital Currency to Cointorox.

A user can elect to increase or decrease their daily purchase amount. The new amount will be active from the start of the next billing cycle or charged immediately for one-off billings. Cointorox will use reasonable endeavors to purchase each of the Digital Currencies selected by you via the dashboard within 1 working day or use the pre-acquired digital currency wallet to represent your funds, however, in certain circumstances (including but not limited to market availability and liquidity) it may take longer than 1 working day to purchase some of the Digital Currencies selected by you via the Dashboard. In the event it takes longer than 1 working day to purchase the Digital Currencies on your behalf, your dashboard will be updated after your Digital Currency purchase has been completed. Cointorox will fulfil your Digital Currency purchase as soon as it reasonably can (typically the next working day, but potentially up to 3 working days) and the price of the relevant Digital Currency will be the price as set on the day it was purchased by Cointorox from the exchange.

Any transaction fees for payments in and out will be displayed to you separately on the Cointorox Site prior to you completing a exchange service transaction. Cointorox will not process a exchange transaction if the conversion and associated fees would exceed the value of your transaction. Payments that are subject to transaction fees disclosed to you before you authorise the transaction. The availability of each payment method depends on a number of factors, including but not limited to your location, the identification information you have provided to us, and limitations imposed by third party payment processors.

Cointorox reserves the rights to amend its fees at any time upon notice to you. We will always notify you of the fees which apply to your transaction, both at the time of the transaction and in each receipt we issue to you.

Cointorox reserves the right to refuse to process, or to cancel or reverse, any purchases or sales of Digital Currency in its sole discretion, even after funds have been debited from your account(s), if Cointorox suspects the transaction involves (or has a high risk of involvement in) money laundering, terrorist financing, fraud, or any other type of financial crime; in response to a subpoena, court order, or other government order; if Cointorox reasonably suspects that the transaction is erroneous; or if Cointorox suspects the transaction relates to Prohibited Use as set forth below. In such instances, Cointorox will reverse the transaction and we are under no obligation to allow you to reinstate a purchase or sale order at the same price or on the same terms as the cancelled transaction.

Know Your Customer & Anti-money Laundering

Cointorox uses multi-level systems and procedures to collect and verify information about you in order to protect Cointorox and the community from fraudulent users, and to keep appropriate records of Cointorox’s customers. All customers are required to provide identification information when they first request for a withdrawal. Cointorox operates and automated KYC/AML process, failure to supply information when requested could lead to the freezing of your account until the information requested is received and verified.

RISK WARNING
1. The risk of loss in trading or holding Digital Currency can be substantial as the values are very volatile and they are experimental technologies. You should therefore carefully consider whether buying, saving or selling Digital Currency is suitable for you in light of your financial condition and your risk appetite.
2. Cointorox Services are not regulated by any financial authority.

Your Rights to Terminate
1. You may cancel and delete your Cointorox account at any time by withdrawing from your Balance and requesting account cancellation on your user profile within your Cointorox account.
2. Upon notice of cancellation, your account will be terminated at the end of the current billing cycle and all Digital Currencies will be sold on your behalf and the proceeds transferred to your Balance. You authorise us to cancel or suspend any pending transactions at the time of cancellation.
3. You will not be charged for cancelling your Cointorox account, although you will be required to pay any outstanding amounts owed to Cointorox.

Our Rights to Terminate, Cancel or Suspend

Cointorox may suspend, restrict, or terminate your access to any or all of the Cointorox Services, and/or deactivate or cancel your Cointorox account if:

1. We are required by a facially valid subpoena, court order, or binding order of a government authority;
2. We reasonably suspect you of using your Cointorox account in connection with a Prohibited Use;

Unlawful Activity: Activity which would violate, or assist in violation of, any law, statute, ordinance, or regulation, sanctions programs administered in the countries where Cointorox conducts business, or which would involve proceeds of any unlawful activity; publish, distribute or disseminate any unlawful material or information.

Abusive Activity: Actions which impose an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information; transmit or upload any material to the Cointorox Site that contains viruses, Trojan horses, worms, or any other harmful or deleterious programs; attempt to gain unauthorized access to the Cointorox Site, other Cointorox accounts, computer systems or networks connected to the Cointorox Site, through password mining or any other means; use Cointorox account information of another party to access or use the Cointorox Site, except in the case of specific Merchants and/or applications which are specifically authorized by a user to access such user’s Cointorox account and information; or transfer your account access or rights to your account to a third party, unless by operation of law or with the express permission of Cointorox

Abuse Other Users: Interfere with another individual’s or entity’s access to or use of any Cointorox Services; defame, abuse, extort, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others; incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others; harvest or otherwise collect information from the Cointorox Site about others, including without limitation email addresses, without proper consent

Fraud: Undertake activity which intends to defraud Cointorox, Cointorox users, or any other person; provide any false, inaccurate, or misleading information to Cointorox.

3. Use of your Cointorox account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your account activity;
4. Our service partners are unable to support your use; or
5. You take any action that Cointorox deems as circumventing Cointorox’s controls, including, but not limited to, opening multiple Cointorox accounts or abusing promotions which Cointorox may offer from time to time.

If Cointorox suspends or closes your account, or terminates your use of Cointorox Services for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits Cointorox from providing you with such notice.

You acknowledge that Cointorox’s decision to take certain actions, including limiting access to, suspending, or closing your account, may be based on confidential criteria that are essential to Cointorox’s risk management and security protocols. You agree that Cointorox is under no obligation to disclose the details of its risk management and security procedures to you.

If Cointorox suspends or closes your account, or terminates your use of Cointorox Services for any reason Cointorox reserves the right to require you to complete Know Your Customer process before permitting you with transfer or withdraw Digital Currency or Fiat Currency.
